The agency policy of Toan A JSC applies to agents who collaborate with the company. The purpose is to ensure the benefits of the agents. Aiming for long-term, sustainable development where both parties benefit.

Principles in Implementing Toan A JSC's Agency Policy

Toan A JSC is always ready to share profits with its agents. This includes: development opportunities, business benefits. We are committed to long-term, sustainable cooperation with agents.

We always pay attention to and support cooperation with agents. The main purpose is to strengthen the close relationship between the manufacturer, Toan A JSC, and the agent.

If the market experiences fluctuations, Toan A JSC will implement policies to protect the rights of the agents as much as possible.

We ensure fairness for agents and distributors nationwide. We always support agents in expanding and developing their markets. At the same time, we help expand the agent’s sales distribution channels.

Discount Policy for Agents on Regular Purchases

Based on the quarterly and annual sales commitments signed between the agent and Toan A JSC, agents will participate in the discount program based on their purchase volume.

Once the agreed sales volume is reached, the agent will receive the discount as per the initial agreement.

This discount policy is completely independent and can run simultaneously with many other business support or promotional programs from the manufacturer and Toan A JSC.

Pricing and Price Protection Policy of Toan A JSC

Purchase Price Policy

Based on the results of purchases and other commitments when cooperating, agents will be entitled to the policies corresponding to their agency level.

Product pricing policies are based on the principle of ensuring competitiveness and maximizing profits and benefits for the company’s agents.

If the manufacturer or distributor reduces prices, agents will also benefit from price protection for similar products based on the quantity and product codes currently in stock.

If the manufacturer or distributor increases prices, Toan A JSC will notify agents at least 45 to 60 days in advance, so agents can adjust their purchasing policies accordingly.

Policy to Protect Agent Interests

Agents are encouraged to expand their markets to increase customer base and become major, exclusive distributors for specific regions.

Toan A JSC will assign an agent code to agents. This code should be provided to the agent’s customers when contacting Toan A JSC. Toan A JSC will ask customers to provide the code, and the distributor will direct them to the appropriate agent.

Retail customers who contact Toan A JSC directly will be introduced to the nearest agent based on their location.

Toan A JSC protects the interests of agents by assisting in the development of new locations for distribution.

Principles in Building Contracts and Debts with Agents

Contract Building Principles

After signing the contract, the agent will be included in the preferential list for distributing Toan A JSC’s services and products.

Agents will enjoy the discount policies and special offers dedicated to them.

Debt Policy

Agents will benefit from favorable credit and debt policies.

Agent Support Policy

Pro-Marketing Support

Agents will be supported with banners, leaflets, and catalogs based on Toan A JSC’s programs.

If there are promotional programs, agents will be invited to participate in all these programs.

Agents will be issued official certificates by Toan A JSC and the manufacturer. Regular updates on pricing, products, policies from the manufacturer and Toan A JSC, and business promotion documents will be provided to agents.

Technical Support for Agents

Support via phone. For urgent cases, direct support will be provided by Toan A JSC or the manufacturer.

We regularly organize training courses for agents, covering product knowledge, technology, and sales techniques based on Toan A JSC’s and the manufacturer’s programs.

Product Support

Within 7 days of invoicing, agents can return products if the items are determined to be faulty from the manufacturer. If no exchange is made, Toan A JSC will offer the best solution for the agent.

If products or prices do not match the original agreement, agents may return the products within 7 days from the invoice date and delivery receipt signing.

Toan A JSC has a policy for agents to borrow display or trial products, especially when introducing new product samples or opening new business locations.

Agent Requirements

Be proactive in building sales channels and networks in a professional and ethical manner.

Agents planning to expand or open new locations should inform Toan A JSC to be protected within the system, preventing unhealthy competition between agents.

Support Toan A JSC or the manufacturer in any promotional or advertising programs conducted at the agent’s business locations.

Be proactive in business planning and engaging with consumers in the areas where the agent is responsible.

Exclusive distributors are prohibited from selling similar products from other brands that compete with Toan A JSC’s brand.

Do not engage in predatory pricing; ensure retail prices are aligned with distributor-suggested pricing.
